Terms of Service

1. Acceptance of these Terms

These Terms of Service (the “Terms”) are a binding agreement between you and Vectaris LLC, a Wyoming limited liability company (“Vectaris,” “we,” “us”). By creating an account or using the Vectaris platform, website, or related services (together, the “Service”), you agree to these Terms, to our Privacy Policy, and to our Risk Disclosure, which is part of these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old and legally able to enter a binding contract. If you use the Service on behalf of an entity, you represent that you are authorized to bind it, and “you” includes that entity.

3. The Service

Vectaris is a self-directed trading workspace: charting, market data display, strategy backtesting, order entry to accounts you hold at your own brokerage, and AI-assisted analysis tools.

Vectaris is software, not a financial firm:

  • We are not a broker-dealer, investment adviser, commodity trading advisor, or fiduciary, and we are not registered with the SEC, CFTC, FINRA, or NFA.
  • We do not hold, custody, or transmit your funds or securities.
  • We do not provide investment advice or personalized recommendations. You bring your own strategies; the Service tests them and transmits your instructions mechanically.
  • Nothing in the Service is a recommendation or solicitation to buy or sell any security, futures contract, digital asset, or event contract.

Trading involves substantial risk of loss. Read the Risk Disclosure before trading.

4. Your broker accounts

All trading happens in accounts you hold at your own broker, under credentials you supply. When you place an order through the Service — manually or through automation — we transmit your instruction to your broker, and your broker, not Vectaris, executes it.

  • Your relationship with each broker is governed by that broker’s own terms, and you are responsible for complying with them, including their API terms.
  • Vectaris is not responsible for the acts or omissions of any broker, including execution failures, rejected or delayed orders, latency, slippage, pricing or data errors, outages, or account restrictions.
  • Balances, positions, and order statuses shown in the Service are as reported by your broker; your broker’s own records are authoritative.

5. AI features

The Service includes AI-assisted features such as chat, market analysis, and order drafting. AI output is machine-generated and can be wrong, incomplete, or outdated. It is not investment advice and not a recommendation. You are responsible for reviewing and authorizing every order placed through the Service. Where an AI feature runs on an API key you supply, your use of that AI provider is governed by its own terms.

6. Your account

Keep your login credentials confidential and your account information accurate. You are responsible for all activity under your account. One account per person. Notify support@vectaris.io promptly if you suspect unauthorized use.

7. Support and payments

The Service is free. Every feature is available to every account at no charge. There is no paid plan, no subscription, and nothing is held back for one.

You may choose to support Vectaris with a one-time payment. It is entirely voluntary, it is not a condition of using the Service, and it does not unlock, grant or reserve anything — there is no supporter tier, no badge, and no feature that depends on it.

  • One-time only. There is no recurring charge, so there is nothing to cancel and no renewal to watch for. Each payment stands alone.
  • Not a charity. Vectaris LLC is a for-profit company. Support payments are not tax-deductible charitable contributions, and we do not issue receipts claiming otherwise.
  • Amounts already paid are non-refundable, except where the law requires otherwise or where we choose to refund at our discretion. If you believe a payment was made in error, write to us and we will look at it.
  • Taxes may apply depending on your location. Stripe acts as merchant of record.

We may modify or discontinue free features at any time, and we will give at least 30 days’ notice before introducing any charge for something that is free today.

8. Acceptable use

You agree not to:

  • use the Service for unlawful activity, including market manipulation or trading on material non-public information;
  • interfere with or disrupt the Service, probe or breach its security, or evade rate limits or plan limits;
  • reverse engineer the Service, or copy, resell, or redistribute it or market data received through it;
  • share account access or use another person’s account;
  • use automated means to scrape the Service.

9. Your content

You own the strategies, scripts, workspaces, and other content you create in the Service (“Your Content”). You grant Vectaris a limited, non-exclusive license to host, store, process, and transmit Your Content solely to operate the Service. We claim no other rights in it and do not use it to train AI models.

10. Our intellectual property

The Service — its software, design, branding, and content other than Your Content and third-party market data — belongs to Vectaris LLC and is protected by intellectual property laws. We grant you a limited, revocable, non-transferable license to use it under these Terms.

11. Copyright complaints (DMCA)

If you believe content on the Service infringes your copyright, send a notice containing the elements required by 17 U.S.C. § 512(c)(3) to support@vectaris.io with the subject “DMCA”: identification of the copyrighted work and of the allegedly infringing material and its location, your contact information, a good-faith statement, a statement of accuracy under penalty of perjury, and your physical or electronic signature. Counter-notices go to the same address. We may remove material and will terminate repeat infringers’ accounts.

12. Third-party services

The Service interoperates with third parties: brokers, market-data sources, Stripe for payments, and AI providers whose keys you supply. Those services are governed by their own terms; we do not control or endorse them and are not responsible for them. Features that depend on a third party may change or stop working if that third party changes its terms or APIs.

13. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; THAT MARKET DATA, QUOTES, BALANCES, BACKTEST RESULTS, OR AI OUTPUT WILL BE ACCURATE, COMPLETE, OR TIMELY; OR THAT USE OF THE SERVICE WILL GENERATE PROFITS OR AVOID LOSSES. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

14. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, VECTARIS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR TRADING LOSSES, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS CAPPED AT THE GREATER OF (A) THE FEES YOU PAID VECTARIS IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) $100. THESE LIMITS DO NOT APPLY WHERE PROHIBITED BY LAW.

15. Indemnification

You will defend and indemnify Vectaris LLC and its members, officers, employees, and agents against claims and expenses (including reasonable attorneys’ fees) arising from your trading activity, Your Content, your breach of these Terms, or your violation of law or of a third party’s rights, including your broker’s terms.

16. Dispute resolution: arbitration and class waiver

Informal resolution first. Before filing a claim, email support@vectaris.io describing the dispute; we’ll try to resolve it within 30 days.

Binding arbitration. Any dispute not resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Hearings will be held remotely unless the AAA rules or both parties provide otherwise. Judgment on the award may be entered in any court of competent jurisdiction.

Exceptions. Either party may bring an individual claim in small-claims court, and either party may seek injunctive relief in court for intellectual-property infringement or unauthorized access to the Service.

Class waiver. ALL CLAIMS MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY — NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING — AND YOU AND VECTARIS EACH WAIVE THE RIGHT TO A JURY TRIAL.

Opt-out. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing support@vectaris.io with the subject “Arbitration Opt-Out” from your account email, including your name. Opting out does not affect any other part of these Terms.

17. Governing law

These Terms are governed by the laws of the State of Wyoming, excluding its conflict-of-law rules. The Federal Arbitration Act governs Section 16.

18. Termination

You may stop using the Service or delete your account at any time. We may suspend or terminate your account if you breach these Terms, create risk or legal exposure for us or others, or where required by law; where practical, we will give you notice and a window to export Your Content. Sections 9–17 and 20 survive termination.

19. Changes to these Terms

We may update these Terms. For material changes we will give at least 30 days’ notice by email or in the product before they take effect. Continued use of the Service after the effective date constitutes acceptance. Prior versions are available on request.

20. Miscellaneous and contact

These Terms, together with the Privacy Policy and Risk Disclosure, are the entire agreement between you and Vectaris about the Service. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them to an affiliate or successor. Neither party is liable for delay or failure caused by events beyond its reasonable control.
